Creator Program Terms

These terms govern your part in the Tradeways creator program. They form a contract between you and Tradeways GmbH, c/o Domiix.ch GmbH, Baarerstrasse 107, 6300 Zug, Switzerland ("Tradeways", "we", "us", or "our").

How This Agreement Works

You accept these terms when you send us an application. The contract starts when we approve it. If we do not approve your application, no contract arises. When we approve you, we set your commission rate and issue your link and your code. We email you a claim link that opens your creator dashboard. That link works once and expires after 14 days. If it expires, email us for a new one. These terms sit alongside the Terms of Service, which govern your own Tradeways account. Where the two differ about the creator program, these terms decide.

Who Can Join

You must be at least 18 years old and legally able to enter into this contract. You must be in a country where Tradeways accepts customers. We cannot enrol or pay you where sanctions or export controls prevent it. There is no minimum audience and you do not need a registered company. Apply with accurate information about yourself and the channels you will use. We review each application ourselves and do not have to give a reason for our decision. If we do not approve you, you can apply again after 90 days.

Words We Use

• Your link — the tracking link we issue to you. It carries your code. • Your code — the word that is also your handle. Your audience can type it at checkout instead of using your link. Your link and your code are one and the same: they work, and stop working, together. • Referred user — someone whose Tradeways account has your referral recorded against it. • Referral — the record connecting a referred user to you. Each account has at most one. • Attribution window — the 90 days after a person opens your link, during which that device carries your referral. • Net revenue — the amount a referred user actually pays us for a Tradeways subscription, less value-added tax and other sales taxes contained in that payment, and less any part of that payment we later refund or that is reversed. Payment-processing fees are not deducted, so they do not reduce what you earn.

What You Earn

You earn 30% of the net revenue from every payment a referred user makes, for as long as that user stays subscribed and you stay in the program. There is no cap on the number of payments and no time limit while both hold. Your rate is set when we approve you. It is 30% unless we agree a different rate with you in writing before approval. We can change your rate later under the section "Changes To The Program And These Terms": a lower rate applies only to payments made after it takes effect, and we tell you at least 30 days before. Your statement shows the rate that applied to each payment. Commission is calculated and paid in US dollars. It accrues when a payment reaches us. It does not accrue on tax, on unpaid invoices, or on a payment we refund or that is reversed. It is calculated on the amount the referred user actually pays: a payment made at a reduced price — under the audience offer, a promotion we run, or any other discount — earns commission on the reduced amount. Your dashboard shows a running figure, correct as at the last time we matched payments to referrals. It is not a statement of account. The figure we confirm on your statement is the one we pay. Commission does not accrue on a subscription held by you or by anyone who shares your creator dashboard. Commission stops accruing on the day your part in the program ends, whatever the reason.

What Your Audience Gets

Someone who subscribes through your link, or types your code at checkout, gets 20% off their first three monthly payments on a monthly plan, or 5% off their first payment on an annual plan. The discount applies at checkout. This is the only offer you may advertise on our behalf. Do not promise, fund, or arrange any other discount, rebate, cashback, prize, or payment in return for a sign-up.

How We Track Referrals

We record a referral when a person opens your link or types your code. A link sets a 90-day cookie on that device. A code sets the referral on the account that typed it, or on the device if no account exists yet. A referral can change until the account subscribes. If a person opens another creator's link or types another creator's code before they subscribe, the referral moves to that creator. After the first paid subscription the referral is fixed. We do not move a referral after that. No referral is recorded for you when: • More than 90 days pass between opening your link and creating the account, and nobody types your code. • The person opens another Tradeways link, or types another code, after yours and before the first paid subscription. • The person opened your link on one device and signs up in a different browser or on a different device, in private browsing, or after clearing or blocking cookies, and does not type your code. • The account already has a paid subscription, or had one before. We cannot recover a referral that was not tracked, and we do not assign one on request.

How And When We Pay You

We settle commission monthly, in US dollars. Commission that accrues in a calendar month is confirmed after the following month ends, which gives refunds and reversals time to land. We issue your statement at the start of the second month after — commission from June is on the statement issued at the start of August — and pay it in the month we issue it. We issue a statement and pay when your confirmed balance reaches USD 50. A smaller balance carries forward month by month until it does. Before your first payout, complete your payout profile in your creator dashboard: your full legal name, your country, whether you take part as a business or as an individual, and your payout details. Add your VAT number if you have one; we keep it on file with your payout details. Commission still accrues while the profile is incomplete, but we do not pay it out until the profile is complete. You choose PayPal or bank transfer. Charges your own payment provider makes on receipt are yours. Keep your profile current, and tell us before your next payout when your legal name, country, VAT registration, or payout details change. If a payment is refunded or reversed after we paid you commission on it, we deduct that commission on your next statement. If no further payout is due, you repay it on request. We correct any payout we make in error in the next payout.

Your Statement

Every payout comes with a statement. It shows the period, the commission that accrued, anything carried forward or deducted, and the amount we pay you. The statement is a record of the payment, not a tax invoice, and we do not issue invoices on your behalf. Your statements are in your creator dashboard, and you can print or save each one from there. We email you when we issue a new one. Check each statement. If you believe one is wrong, email support@tradeways.app within 30 days of its issue date and we will check it and correct a real error. After 30 days, a statement counts as accepted.

Taxes And Social Contributions

You take part as an independent business or as a private individual, not as our employee. All taxes and social contributions on your commission are yours to report and pay: income tax, any value-added tax, and social insurance contributions — for Swiss residents, that includes AHV contributions on self-employed income. Any registration or reporting your own rules require of you, including US tax reporting, is also yours. We do not deduct tax or contributions from your commission unless the law requires us to. Where it does, we withhold the required amount and pay you the rest. The commission is a gross amount. It includes any VAT or similar tax you owe on it. We do not add tax on top, and we do not increase the commission because you owe tax.

How You May Promote Tradeways

Promote Tradeways honestly, in your own voice, on channels you control or are allowed to post in. You must not: • Refer yourself. Do not sign up through your own link or with your own code, or arrange for someone else to do it for you, to earn commission on your own subscription or on an account you control. • Bid on our name. Do not buy "Tradeways" or a close variant as a paid-search keyword, and do not buy paid placement that competes with us on our own name. • Spam. Do not send unsolicited email, messages, comments, or posts, and do not repeat the same promotion where that is unwelcome or against a platform's rules. • Mislead. Do not say or imply anything untrue about Tradeways, its price, its features, its integrations, or what it does. • Claim income or results. Do not state or suggest that Tradeways produces trading profits, income, or any particular trading result. Trading carries the risk of loss, and Tradeways does not change that. • Post your code on coupon sites. Do not put your code on a voucher, deal, or cashback site, and do not run an account, page, or site whose main purpose is to hand out discount codes. • Hide the link or code. Do not alter your link or code, mask where your link leads, or place either where a person cannot tell it is a promotion. • Trade on our name. Do not register or use a domain, social handle, app name, or business name containing "Tradeways" or a close variant. • Promote us in the wrong company. Do not place Tradeways promotion next to illegal, hateful, or sexual content, or direct it at children.

Telling Your Audience You Earn From This

Every time you promote Tradeways, tell your audience that you earn a commission. Make that disclosure: • In plain words, in the language of the promotion. • Next to the recommendation and before your link or code, where someone sees it without expanding, scrolling past, or opening anything. • In every format the promotion uses — spoken and on screen in a video, and again in the caption or description. • In the title or thumbnail, where a whole post, video, or page is about Tradeways. A disclosure in your profile bio, inside a block of hashtags, or behind a "more" link is not enough. Advertising and consumer-protection rules where your audience is may demand more than this section; follow them as well.

Using Our Name And Logo

While you are in the program you may use the Tradeways name, logo, and product screenshots as we supply them, to promote Tradeways. Do not change the logo, combine it with your own marks, or present yourself as Tradeways, as our employee, or as speaking for us. Stop using them when your part in the program ends. You take part on your own account and decide whether, when, and how much to promote Tradeways. You take on no obligation to promote it and no minimum activity. These terms do not create employment, agency, partnership, or a joint venture. You have no authority to negotiate, quote, or make commitments for us, you are not our commercial agent or broker, and no territory, customer group, or exclusivity is granted. We run the program with other creators.

Information About Referred Users

Your dashboard shows aggregate figures only: how many people signed up through your link or code, how many of them subscribe, the mix of plans they hold, and how many signed up in each period. It does not show names, email addresses, or anything else that identifies a person you referred. We do not release that information on request. You are responsible for complying with the data-protection law that applies to you when you collect data from your own audience.

Suspension And Ending Your Part In The Program

You can leave the program at any time by emailing us. We can end your part in it with 30 days' notice by email. We can switch off your link and code immediately, without notice, while we investigate suspected fraud, artificial sign-ups, or a breach of these terms. If you break these terms in a material way, we can end your part in the program at once, withhold and cancel commission we have not yet paid you, reclaim commission we paid on the affected referrals, and refuse a later application. When your part in the program ends for any other reason, your link and code stop working, commission stops accruing, and we pay the commission accrued up to that day on the normal schedule and subject to the same minimum.

Changes To The Program And These Terms

We can change the program and these terms. We email you at least 30 days before a change that reduces what you earn or adds an obligation, and that change applies only to commission accruing after it takes effect. Other changes take effect when we publish them. If you do not accept a change, leave the program before it takes effect; we pay the commission accrued up to that day on the normal schedule.

Liability

We are liable to you for damage we cause intentionally or through gross negligence, and for anything else the law does not let us limit. For everything else under these terms, our total liability to you is limited to the commission we paid or owed you in the 12 months before the event. If a court finds part of these terms unenforceable, the rest continues in effect, and the affected part applies as far as the law allows. You may not transfer this contract without our consent. We may transfer it as part of a merger, reorganisation, or sale of the service.

Governing Law And Disputes

Swiss law governs these terms, excluding its conflict-of-law rules. If you take part in the program as a consumer, this choice does not deprive you of mandatory protections under the law of your habitual residence. Please email us first so we can try to resolve a concern. If you take part in the program as a business, the courts at the registered office of Tradeways GmbH in Zug, Switzerland, have exclusive jurisdiction.
